1. Acceptance of Terms

By accessing and using VesselComply ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

VesselComply provides a cloud-based maritime compliance management platform that includes:

• Fleet management and vessel tracking
• Compliance reporting (EU MRV, IMO DCS, CII)
• Document management and certificate tracking
• Port call planning and SafeSeaNet integration
• Emissions monitoring and reporting
• Task management and notifications

3. User Accounts

3.1 Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3.3 Account Types

• Owner/Admin: Full access to company data and settings
• Operations Manager: Manage vessels and operations
• Compliance Officer: Access to compliance and reporting
• Captain/Crew: Vessel-specific access and reporting

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans (Basic, Professional, Enterprise). Pricing and features are described on our website.

4.2 Free Trial

We offer a 14-day free trial for new customers. No credit card is required during the trial period. Your subscription will not automatically start after the trial unless you choose to subscribe.

4.3 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice
• Failed payments may result in service suspension

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Share your account with unauthorized users

6. Data and Content

6.1 Your Data

You retain all rights to the data you upload to the Service. You grant us a license to use, store, and process your data solely to provide the Service.

6.2 Data Accuracy

You are responsible for the accuracy and completeness of data you submit. We are not liable for errors in compliance reports resulting from inaccurate data.

6.3 Regulatory Submissions

While we facilitate compliance reporting, you remain ultimately responsible for ensuring submissions to regulatory authorities are accurate and timely.

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by VesselComply and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may suspend the Service for:

• Scheduled maintenance (with advance notice)
• Emergency maintenance
• Security incidents
• Non-payment of fees
• Violation of these Terms

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
• WE ARE NOT LIABLE FOR REGULATORY FINES OR PENALTIES

10. Indemnification

You agree to indemnify and hold harmless VesselComply from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

11.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment
• Fraudulent activity
• At our discretion with 30 days notice

11.3 Effect of Termination

Upon termination, you will lose access to the Service. We will retain your data for 30 days for retrieval, after which it will be permanently deleted.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of Norway. Any disputes shall be resolved in the courts of Oslo, Norway.
